These Terms of Service (“Terms”) govern your access to and use of the software, platform, website, and related services (collectively, the “Services”) provided by Creux Digital (“Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.


1. Eligibility and Authority

You must be at least 18 years old and have the legal authority to enter into these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.


2. Description of Services

Creux Digital provides a software-as-a-service (SaaS) platform, which may include subscription-based tools, analytics, integrations, and related features. We may modify, update, or discontinue any part of the Services at any time.


3. Account Registration and Security

You agree to:

Provide accurate and complete account information

Maintain the confidentiality of login credentials

Notify us promptly of unauthorized access or security incidents

You are responsible for all activity conducted under your account.


4. Subscriptions, Fees, and Payment

A. Subscription Terms

Certain features require payment. Pricing and billing terms are disclosed at checkout.

B. Billing Authorization

You authorize Creux Digital or its payment processor to charge applicable fees. Fees are non-refundable except where required by law.

C. Taxes

You are responsible for all applicable taxes, excluding taxes on our net income.


5. Acceptable Use

You agree not to:

Use the Services for unlawful or fraudulent purposes

Reverse engineer or attempt to extract source code

Interfere with system integrity or security

Upload malicious code or harmful content

Violate applicable laws or third-party rights

We may suspend or terminate access for violations.


6. Customer Data and User Content

A. Ownership

You retain ownership of all data submitted to the Services (“Customer Data”).

B. License

You grant Creux Digital a limited, non-exclusive license to process Customer Data solely to provide and improve the Services.

C. Responsibility

You are responsible for the legality of Customer Data and for obtaining all required consents.


7. Intellectual Property

All intellectual property in the Services is owned by Creux Digital or its licensors. No rights are granted except as expressly stated in these Terms.


8. Third-Party Services

The Services may integrate with third-party platforms. We are not responsible for third-party services, which are governed by their own terms.


9. Confidentiality

Each party agrees to protect confidential information and use it only as necessary to perform under these Terms, unless disclosure is required by law.


10. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which complies with the TDPSA, CCPA/CPRA, and GDPR where applicable.


11. Suspension and Termination

We may suspend or terminate access for:

Violation of these Terms

Non-payment

Legal compliance

Security or risk mitigation

Upon termination, your right to use the Services ends immediately.


12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREUX DIGITAL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


14. Indemnification

You agree to indemnify and hold harmless Creux Digital from claims arising from:

Your use of the Services

Your Customer Data

Your violation of law or third-party rights


15. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Venue lies exclusively in Texas courts.


16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of revised Terms.


17. Assignment

You may not assign these Terms without our consent. We may assign them in connection with a merger or asset sale.


18. Entire Agreement

These Terms, together with the Privacy Policy and Data Processing Addendum below, constitute the entire agreement between you and Creux Digital.


19. Data Processing Addendum (DPA)

This Data Processing Addendum (“DPA”) forms part of these Terms.

19.1 Roles of the Parties

Under GDPR: Customer is the Controller, Creux Digital is the Processor

Under CCPA/CPRA and U.S. laws: Customer is the Business, Creux Digital is a Service Provider


19.2 Scope of Processing

Creux Digital processes Personal Data solely to:

Provide and maintain the Services

Provide customer support

Ensure security and compliance

Improve platform performance


19.3 Categories of Data

Identifiers (name, email, IP address)

Account and usage data

Communications and support data

Billing data


19.4 Customer Obligations

Customer represents that it has a lawful basis to collect and share Personal Data and has provided all required notices and consents.


19.5 Creux Digital Obligations

Creux Digital shall:

Process data only on documented instructions

Ensure confidentiality of personnel

Implement reasonable security measures

Assist with compliance where reasonably possible


19.6 Subprocessors

Customer authorizes use of Subprocessors. Creux Digital remains responsible for Subprocessor compliance and will provide information upon request.


19.7 Data Security

Security measures include:

Access controls

Encryption in transit and at rest (where applicable)

Monitoring and incident response


19.8 Personal Data Breach

Creux Digital will notify Customer without undue delay upon discovering a Personal Data breach.


19.9 Data Subject Rights

Creux Digital will assist Customer with responding to data subject requests where reasonably possible.


19.10 International Transfers

Data may be processed in the United States or other jurisdictions. Where GDPR applies, appropriate safeguards (such as SCCs) are used.


19.11 CCPA/CPRA Commitments

Creux Digital:

Does not sell or share Personal Data

Does not retain or use data outside service provision

Complies with Service Provider obligations


19.12 Data Return or Deletion

Upon termination, Customer Data will be deleted or returned upon request unless retention is legally required.


19.13 Precedence

If there is a conflict, this DPA controls over other sections of these Terms.
